End User License Agreement

IMPORTANT — By installing, downloading, activating, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the Software.

1. Definitions

"Software" means RootControl and any other [X] Control series plugin, including all associated files, presets, documentation, updates and patches.

"License" means the non-exclusive, non-transferable, limited right to use the Software as granted under this Agreement.

"License Key" means the unique key in the format CTRL-XXXX-XXXX-XXXX-XXXX issued to you upon purchase and required for activation.

"Authorized Machine" means a computer on which the Software has been activated in accordance with this Agreement.

"Minor Update" means any patch, bug fix, or incremental improvement within the same major version (e.g., v1.0 to v1.1).

"Major Upgrade" means a new major version (e.g., v1.x to v2.0), which is a separate product requiring a new purchase.

2. Grant of License

Subject to your full compliance with this Agreement and upon receipt of the applicable license fee, Ctrlbus Audio LLC grants you a personal, non-exclusive, non-transferable, non-sublicensable, limited license to install and use the Software on up to two (2) Authorized Machines that you own or control, solely for personal or professional music production purposes.

3. Activation and Machine Limits

3.1 License Key and Activation

Upon purchase you will receive a unique License Key delivered to your email address. This License Key is personal to you and may not be shared, transferred, or published. Activation requires an internet connection. A 30-day offline grace period is available following a successful online activation.

3.2 Two-Machine Limit

Your License permits activation on a maximum of two (2) Authorized Machines simultaneously. Activating on a third machine without deactivating an existing one is a material breach of this Agreement.

3.3 Machine Management Portal

You may manage activations — including deactivating machines — through your account at ctrlbus.com/account.

3.4 Reactivation Assistance

In the event of hardware failure preventing normal deactivation, contact support@ctrlbus.com to request a manual reset.

4. Restrictions

You agree that you will NOT:

Copy, reproduce, distribute, or transmit the Software except as expressly permitted;
Sell, rent, lease, sublicense, or assign your License or the Software to any third party;
Reverse engineer, decompile, disassemble, or attempt to derive the source code;
Modify, adapt, translate, or create derivative works based on the Software;
Remove, alter, or obscure any copyright notice or proprietary rights notice;
Use the Software to develop a competing product;
Share, publish, or distribute your License Key;
Circumvent, disable, or interfere with any license enforcement or activation system.

5. Updates and Upgrades

Minor Updates are provided at no additional charge. Major Upgrades are new products requiring a new purchase. Existing licensees may be offered a discounted upgrade price at Ctrlbus Audio's discretion.

6. Ownership and Intellectual Property

The Software is licensed, not sold. Ctrlbus Audio LLC retains all right, title, and interest in the Software, including all intellectual property rights. All trademarks including "Ctrlbus Audio," "RootControl," and the [X] Control family names are the exclusive property of Ctrlbus Audio LLC.

7. Privacy and Data Collection

The Software transmits a hashed machine fingerprint (derived from hardware identifiers), operating system information, and activation status to Ctrlbus Audio licensing servers for license validation and anti-piracy purposes. 8. Disclaimer of Warranties

The software is provided "as is" and "as available" without warranty of any kind, express or implied. Ctrlbus Audio LLC expressly disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Some jurisdictions do not allow exclusion of implied warranties, so the above exclusion may not apply to you in full.

9. Refund Policy

All sales are generally final. Refunds may be considered within 14 days of purchase if the License Key has not been activated. See our Refund Policy for full details.

10. Limitation of Liability

In no event shall Ctrlbus Audio LLC be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill. Ctrlbus Audio's total liability shall not exceed the amount you paid for the license in the 12 months preceding the claim.

11. Term and Termination

This Agreement is effective upon first use and continues in perpetuity unless terminated. Ctrlbus Audio may terminate immediately upon material breach. Upon termination, you must stop all use and destroy all copies of the Software.

12. Governing Law

This Agreement is governed by the laws of the State of Texas, United States. Any legal proceedings shall be brought in the state or federal courts of Travis County, Texas.

13. Dispute Resolution

Before initiating any formal proceeding, contact hello@ctrlbus.com with a written description of the dispute. The parties agree to attempt informal resolution for 30 days. Unresolved disputes shall be submitted to binding AAA arbitration in Austin, Texas. Class action waiver applies — all disputes are on an individual basis only.

14. Anti-Piracy and Enforcement

The Software contains technological measures to prevent unauthorized copying and use, including license key validation, machine fingerprinting, and server-side activation limits. Ctrlbus Audio actively monitors for piracy and reserves the right to remotely deactivate affected licenses and pursue all available legal remedies including DMCA statutory damages.
